Subscription Terms (Schools & Enterprises)

These Subscription Terms apply to paid plans and add-ons purchased by schools, training providers, companies and other organizations. They supplement our Terms of Service. Paid plans are intended for professional users acting for business purposes, not for consumers.
1. Plans, add-ons and free features
Ulydia offers subscription plans and optional add-ons whose features, limits and prices are described on the pricing page or at checkout. Schools may also have access to a free version of the Services with limited features. We may update plan features over time, provided the overall functionality of a paid plan is not materially reduced during a paid period.
2. Free trials
Some plans may include a free trial period, as indicated at signup. At the end of the trial, the subscription converts to a paid subscription and the applicable fee is charged, unless you cancel before the end of the trial.
3. Billing and payment
Subscriptions are billed in advance on a recurring basis through Stripe, at the frequency indicated at checkout. Prices are displayed in US dollars unless indicated otherwise. Applicable taxes (such as VAT or sales tax) are calculated at checkout based on your billing information. You authorize us and our payment provider to charge your payment method for the applicable fees. Invoices are made available through your account or by email.
4. Renewal and cancellation
Subscriptions renew automatically at the end of each billing period, at the then-current price, unless cancelled before the renewal date. You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period: you keep access to paid features until that date, and no further payment is charged.
5. Upgrades and downgrades
Plan upgrades take effect immediately; the price difference for the remaining billing period is charged on a prorated basis. Downgrades take effect at the end of the current billing period. Downgrading may reduce available features, quotas or data visibility.
6. Refunds
Except where required by applicable law or expressly stated otherwise, payments are non-refundable and there are no refunds or credits for partial billing periods, unused features or downgrades.
7. Payment failure and suspension
If a payment fails, we may retry the charge and notify you. If payment remains outstanding after a reasonable period, we may suspend access to paid features until payment is received, or terminate the subscription. Suspension does not relieve you of the obligation to pay amounts due.
8. Price changes
We may change subscription prices from time to time. Price changes apply from the next renewal, and we will notify you in advance so that you may cancel before the new price takes effect.
9. Data processing
Where your organization uses the Services to process personal data of students, applicants or candidates, our Data Processing Agreement applies and forms part of these Subscription Terms.
